Terms of Service

Please read these Terms of Service carefully before using blackcorporations.online. By accessing or using our site and services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services Offered

Black Business Credit & Capital (“Company,” “we,” “us,” or “our”) provides business formation and related services through blackcorporations.online, including but not limited to:

  • Corporation and LLC formation assistance
  • Registered agent services
  • Business plan development
  • Business credit development consulting
  • Business banking setup guidance
  • Capital raising strategy consulting
  • Educational content and ebooks

We are not a law firm and do not provide legal advice. Nothing on this site constitutes legal, tax, or financial advice. We recommend consulting qualified legal and financial professionals for your specific situation.

2. Account Creation

To access certain services, you may be required to create an account. You agree to provide accurate, complete, and current information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at info@blackstock.exchange if you suspect unauthorized access.

You must be at least 18 years old and legally authorized to form a business entity in your jurisdiction to use our formation services.

3. Fees and Payment

Service fees are disclosed at the time of purchase. All fees are in US dollars. Payments are processed securely by Square and Cash App. We do not store your full card number on our servers.

Government filing fees (state filing fees, registered agent fees, etc.) are separate from our service fees and are passed through at cost. These fees vary by state and are non-refundable once paid to the relevant government authority.

We reserve the right to modify pricing at any time. Changes will not affect orders already placed.

4. Refund and Cancellation Policy

Service fees (our fees only): You may request a refund of our service fee within 7 calendar days of purchase, provided we have not yet submitted your filing to the relevant government authority. Once a filing has been submitted, our service fee is non-refundable.

Government filing fees: Non-refundable once submitted to the state or other authority, regardless of outcome.

Consulting and other services: Refunds for consulting, strategy, or advisory sessions will be considered on a case-by-case basis if cancelled at least 24 hours before a scheduled session. No refunds are issued for completed sessions.

Digital products (ebooks, guides): All sales of digital products are final and non-refundable upon delivery.

To request a refund, contact us at info@blackstock.exchange or call 323-452-5225. Approved refunds are processed within 10 business days to your original payment method.

5. User Obligations

You agree not to:

  • Use our services for any unlawful purpose or to form entities for illegal activities.
  • Provide false, misleading, or fraudulent information in filings or on our site.
  • Attempt to interfere with or disrupt the operation of our website or services.
  • Reverse engineer, copy, or redistribute our proprietary content without permission.
  • Use our services in any manner that could damage our reputation or the interests of our clients.

You are responsible for ensuring the accuracy of all information you provide for filings. We are not liable for filing errors arising from inaccurate information you supply.

6. Intellectual Property

All content on blackcorporations.online — including text, graphics, logos, images, and software — is the property of Black Business Credit & Capital or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Limitation of Liability

To the fullest extent permitted by Ohio law, Black Business Credit & Capital, its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to:

  • Errors or delays in government filings due to state agency processing times.
  • Rejection of filings by state authorities for reasons beyond our control.
  • Loss of business opportunity, revenue, or goodwill.
  • Reliance on information provided on our website without independent professional advice.

Our total aggregate liability for any claim arising from these Terms or our services shall not exceed the amount you paid us for the specific service giving rise to the claim in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Black Business Credit & Capital and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any information you provide to us that is false, inaccurate, or misleading.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of courts located in Montgomery County, Ohio for any dispute arising from these Terms, subject to the dispute resolution clause below.

10. Dispute Resolution

Informal resolution: Before filing any formal legal action, you agree to contact us at info@blackstock.exchange and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration (optional clause): If informal resolution fails, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with proceedings conducted in Dayton, Ohio. Both parties waive the right to a jury trial and the right to participate in a class action for disputes subject to arbitration.

Nothing in this clause prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

11. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause or notice, for conduct that we believe violates these Terms or is harmful to our business, other users, or third parties. Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination (including limitations of liability, indemnification, and governing law) will survive.
